FW Cook’s 2022 Director Compensation Report studies non-employee director compensation at 300 U.S. public companies of various sizes and industries to analyze market practices in pay levels and program structure.
This 300 company sample is equally divided among small-, mid-, and large-cap size segments and the study analyzes compensation for board and committee service. In addition, the report presents our findings on equity vesting practices, the prevalence of stock ownership guidelines, the prevalence, design, and magnitude of shareholder approved limits on annual compensation per director, and the number of Board member and leadership seats that are occupied by women, ethnically/racially diverse, and LGBTQ+ members.
Tyler Janney
Consultant
Tyler Janney’s consulting engagements focus on all aspects of executive and board compensation and he engages with clients, both public and private, in numerous industries and throughout various stages of the business cycle. Tyler specializes in executive compensation trends, annual and long-term incentive program design, peer group development, and the relationship between executive pay and company performance. In 2020, Tyler has supported the firm’s internal COVID-19 compensation adjustment updates.
Michael Kenney
Principal
Michael Kenney serves public and private companies of varying sizes and industries. He consults directly with the compensation committees and executive management teams of his clients and the clients of managing directors and principals he supports. Experiences and responsibilities include participating in compensation committee meetings, designing and preparing analytics that support compensation decision-making processes, managing consulting teams responsible for the preparation of client deliverables, and developing ongoing relationships with client human resources teams.
Stafford Schmidt
Consultant
Stafford Schmidt is a CPA and has years of experience in this capacity. He currently provides consulting services in various areas of compensation matters, specializing in director compensation, executive compensation trends, peer group development, and annual and long-term incentive program design.
