Fresh out of proxy season, this roundtable discussion focuses on how companies addressed compensation challenges in their 2024 proxies arising from new regulations, proxy advisors, and their shareholders. Various hot topics were covered, including Tesla’s director pay settlement, the recent lawsuit challenging the compensation awarded to Elon Musk, and California’s broadening restrictions on non-competes. Lastly, we discuss important pending issues involving human capital disclosures with the SEC and the accounting of employee compensation with the FASB.
